Keensight Health Educational Application Terms of Use

These Keensight Health Educational Application Terms of Use (these "Terms") govern your access to and use of the Keensight Health educational application, platform, and related services made available by Keensight Health, Inc. ("Keensight Health," "we," "us," or "our"), including AI-powered role plays (interactions with AI-simulated patients), interactions with a human acting as a simulated patient, communication feedback and coaching tools, reporting, and related educational functionality (collectively, the "Services").

The Services are designed for educational and training purposes only and are intended for medical students, residents, fellows, medical assistant trainees, nursing students, medical assistants, nurses, and other health care team members in training or seeking to strengthen their patient-centered communication skills. The Services use simulated patient scenarios and deliver coaching and feedback informed by the Patient Centered Observation Form (PCOF), a communication and relationship assessment tool developed at the University of Washington to help health care team members communicate effectively with patients.

The Services are not intended for use with real patients, real patient information, or any real-world clinical purpose, including clinical care, medical decision-making, diagnosis, treatment, documentation, billing, patient management, or emergency response.

By clicking "Accept," creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

1. What These Terms Cover

(a) Educational Application

These Terms govern the Keensight Health educational application and related Services used for practicing communication skills through interactions with AI-simulated patients or with a human acting as a simulated patient, together with related coaching and feedback tools.

(b) Privacy Notice

These Terms include the Keensight Health Privacy Notice, as updated from time to time.

(c) Other Keensight Products Not Covered

These Terms do not apply to Keensight Health products or services intended for use with real patients, clinical workflows, ambient documentation, patient intake, or other clinician-facing services governed by separate terms, a master software agreement, or other written agreement.

2. Eligibility

You may use the Services only if you:

  • are at least 18 years old;
  • are legally able to enter into these Terms;
  • will use the Services credentials
  • only for lawful educational or training purposes; and
  • will comply with these Terms and applicable law.

3. Accounts and Access

You may be required to create an account to access the Services. You agree to provide accurate, current, and complete account information and to keep that information updated.

You are responsible for safeguarding your login credentials and for all activity occurring under your account. You must promptly notify us at support@keensighthealth.com if you know or suspect unauthorized access to your account or the Services.

By creating an account, providing your email address, or using the Services, you agree that Keensight Health may send you emails relating to your account and your use of the Services, including onboarding messages, product tips, educational content, feature updates, and support communications designed to help you use the Services effectively. You may opt out of non-essential promotional or educational emails by following the unsubscribe instructions in those emails, but you may still receive transactional, account, or service-related communications.

You may access the Services either through an individual account you create for yourself or, if made available by Keensight Health, through an account provisioned, sponsored, or managed by a medical school, residency program, fellowship program, university, training institution, employer, or other organization (each, an "Institution").

If your access to the Services is provisioned, sponsored, or managed by an Institution, your use of the Services may also be subject to a separate agreement between Keensight Health and that Institution. In that case, the Institution may control certain aspects of your access to and use of the Services, including creating, enabling, disabling, suspending, reassigning, or terminating your account, managing user roles or settings, and accessing account-related or usage-related information to the extent permitted by law and the applicable agreement with the Institution. If there is a conflict between these Terms and the applicable agreement governing Institution-provisioned access, that agreement will control with respect to your use of the Services through the Institution.

4. License to Use the Services

4.1 Limited License

Subject to these Terms, Keensight Health grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services solely for your personal educational and training use in connection with practicing communication skills through AI role plays and simulated patient interactions.

You may not use the Services for the benefit of any third party or for any commercial, clinical, or patient-care purpose.

4.2 Reservation of Rights

Keensight Health and its licensors retain all right, title, and interest in and to the Services, including all software, models, workflows, interfaces, documentation, designs, branding, and related intellectual property rights.

Certain components of the Services incorporate or are informed by the Patient Centered Observation Form ("PCOF") and related materials. PCOF and related materials are owned by the applicable rights holder(s) and are licensed to Keensight Health for use in commercial software products and related offerings. Keensight Health and its licensors retain all right, title, and interest in and to the Services, including Keensight Health's software, models, workflows, interfaces, documentation, designs, branding, feedback presentation, and related intellectual property rights. Except for the limited rights expressly granted in these Terms, no rights are granted to you in or to the Services, PCOF, or any related materials.

5. Important Educational Use Terms

5.1 Educational Purposes Only

The Services are educational tools only. They are intended to help you practice patient-centered communication skills and receive coaching and feedback in a training environment.

5.2 Training Only; No Real Patient Use

You may use the Services to practice communication skills in educational scenarios, including by drawing on your own clinical training, experience, and judgment, asking the kinds of questions you might ask in a real clinical conversation, and participating in role plays with AI-simulated patients or with a human acting as a simulated patient for training and feedback purposes.

However, you may not use the Services with or for real patients, or in connection with real patient care, clinical documentation, diagnosis, treatment, triage, billing, coding, or any other real-world healthcare operations.

You may not enter, upload, record, transmit, or otherwise submit real patient information, protected health information, medical records, or other confidential clinical information into the Services unless Keensight Health expressly permits such use in writing under separate terms.

5.3 Simulated Interactions and AI Output

The Services use artificial intelligence and machine learning to support interactions with AI-simulated patients, generate role-play dialogue, analyze training conversations with human and AI "patients", provide coaching observations, and generate feedback, summaries, or other educational content (collectively, "AI Output").

AI Output may be incomplete, misleading, unrealistic, or inappropriate for a particular learning objective, communication scenario, or educational context. You are solely responsible for reviewing, verifying, and critically evaluating any AI Output before relying on it.

5.4 No Medical Advice or Practice of Medicine

Keensight Health does not practice medicine, nursing, or any other licensed profession, and does not provide medical advice, diagnoses, treatment decisions, or clinical judgments. The Services are support tools for education and training only.

5.5 Not a Substitute for Professional Training or Supervision

The Services are not a substitute for accredited education, clinical supervision, faculty instruction, professional judgment, licensure requirements, or institutional training programs. Keensight Health does not represent or warrant that use of the Services will improve exam performance, satisfy training requirements, or qualify you for licensure, certification, or clinical practice.

5.6 Not for Emergencies

The Services are not intended for emergency response, emergency triage, or any urgent real-world medical situation. Do not rely on the Services for emergency communications or urgent medical decision-making.

6. Your Responsibilities

You are responsible for:

  • using the Services only for lawful educational or training purposes and in accordance with these Terms;
  • ensuring that you do not submit real patient information, protected health information, or other confidential clinical information into the Services unless expressly permitted by Keensight Health in writing;
  • reviewing, verifying, and critically evaluating any AI Output before relying on it for educational purposes; and
  • protecting your account credentials and taking reasonable steps to prevent unauthorized access to or misuse of the Services.

7. Acceptable Use Policy

You may use the Services only in compliance with these Terms and all applicable laws, rules, regulations, and educational or professional obligations.

As a condition of your access to or use of the Services, you agree to:

  1. use the Services only for lawful educational and training purposes;
  2. use the Services only in simulated training scenarios and not with or for real patients or real-world clinical care;
  3. provide or record only training conversations and other content that you have the right to use in connection with the Services;
  4. ensure that any training conversation you record with a human acting as a simulated patient is recorded with that person's knowledge and permission;
  5. protect your account credentials and keep them confidential; and
  6. promptly notify Keensight Health if you become aware of or reasonably suspect any unauthorized access to, misuse of, or security incident involving your account or the Services.

Further, you may not, and may not authorize, assist, encourage, or permit any other person or entity to:

  1. access or use the Services except as expressly permitted by these Terms;
  2. use the Services with or for real patients, or in connection with real patient care, diagnosis, treatment, documentation, billing, coding, triage, patient management, or any other real-world healthcare operations;
  3. upload, transmit, record, or otherwise submit real patient information, protected health information, medical records, or other confidential clinical information unless expressly permitted by Keensight Health in writing under separate terms;
  4. sell, resell, license, sublicense, rent, lease, distribute, or provide the Services on a service bureau, time-sharing, outsourced, or similar basis;
  5. copy, modify, create derivative works of, frame, mirror, reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Services, except to the extent such restriction is prohibited by law;
  6. access or use the Services to build, train, improve, or support a competing product or service;
  7. interfere with, disrupt, or attempt to bypass the integrity, security, functionality, or performance of the Services or related systems or networks;
  8. attempt to gain unauthorized access to the Services, related systems or networks, or any data contained in them;
  9. share account credentials or allow unauthorized persons to access or use the Services;
  10. use the Services to generate, store, transmit, or distribute malicious code, harmful content, deceptive content, fraudulent content, or unlawful material;
  11. impersonate any person or entity or misrepresent your affiliation with any person or entity in connection with the Services;
  12. use scraping, bots, crawlers, or any means other than Keensight Health's approved interfaces to access, search, download, or extract data or content from the Services; or
  13. use the Services in any manner that could reasonably create a risk of harm to other users, Keensight Health, or any third party.

8. Suspension and Termination

Keensight Health may suspend or terminate your access to the Services immediately, with or without notice where reasonably necessary, if:

  • you violate these Terms;
  • we reasonably believe suspension is necessary to prevent unauthorized access, protect the security or integrity of the Services, prevent legal liability, or respond to suspected fraud, abuse, or unlawful activity; or
  • we are required to do so by law or court order.

You may stop using the Services at any time.

Sections that by their nature should survive termination will survive, including those relating to reservation of rights, data rights, disclaimers, limitations of liability, governing law and venue, feedback, and accrued rights or obligations.

9. Data and Privacy

9.1 Privacy Notice

Your use of the Services is subject to the Keensight Health Privacy Notice, as updated from time to time.

9.2 Audio and Conversation Data

In connection with your use of the Services, the Services may capture, receive, process, and store audio, transcripts, and related conversation data from your interactions with AI-simulated patients or from training conversations between you and a human acting as a simulated patient for educational and feedback purposes.

You represent that you have the right to participate in and submit such training conversations for use with the Services, and that such conversations and related data do not include real patient information, protected health information, medical records, or other confidential clinical information unless expressly permitted by Keensight Health in writing under separate terms.

9.3 Authorization to Process Data

You authorize Keensight Health to host, copy, use, transmit, display, and process information you submit to the Services as necessary to provide, maintain, support, secure, troubleshoot, and improve the Services, to comply with law, and as otherwise permitted by these Terms and the Privacy Notice.

9.4 Usage Data; Aggregated and De-Identified Data

Keensight Health may collect and use metadata and technical information relating to access to and use of the Services, such as IP addresses, session information, device and browser information, and network metadata, to provide, maintain, secure, support, and improve the Services.

Keensight Health may also create and use aggregated and de-identified data derived from information submitted to the Services and usage data for internal analytics, service improvement, quality assurance, security, performance monitoring, and other internal business purposes, provided such data does not identify, and cannot reasonably be used to identify, you or any other individual.

10. Free Features, Trials, and Paid Features

Keensight Health may offer certain Services, features, or functionality at no charge. Keensight Health may change, suspend, limit, or discontinue such free features at any time.

Keensight Health may also offer certain new, enhanced, premium, or subscription-based Services, features, or functionality subject to additional fees or separate terms.

11. Third-Party Services and Integrations

The Services may interoperate with or depend on third-party software, hosting providers, identity providers, communications providers, or other third-party services.

Keensight Health is not responsible for third-party services, and your use of third-party services may be subject to separate terms and privacy policies. Keensight Health is not responsible for outages, failures, inaccuracies, or delays caused by third-party services outside Keensight Health's reasonable control.

12. Disclaimers

THE SERVICES AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEENSIGHT HEALTH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, OR THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME.

WITHOUT LIMITING THE FOREGOING, KEENSIGHT HEALTH DOES NOT WARRANT THAT ANY ROLE-PLAY DIALOGUE, FEEDBACK, COACHING OBSERVATION, SUMMARY, SCORE, OR OTHER OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, OR SUFFICIENT FOR ANY EXAM, TRAINING REQUIREMENT, CERTIFICATION, LICENSURE, OR PROFESSIONAL PURPOSE, OR THAT ANY OUTPUT WILL PERFECTLY MATCH ANY PARTICULAR INSTRUCTOR'S, PROGRAM'S, OR INSTITUTION'S EVALUATION OR SCORING APPROACH. ALTHOUGH THE SERVICES USE COACHING CONCEPTS AND EVALUATION APPROACHES INFORMED BY PCOF, KEENSIGHT HEALTH DOES NOT WARRANT THAT ANY OUTPUT CONSTITUTES AN OFFICIAL PCOF EVALUATION, OFFICIAL PCOF SCORE, OR SUBSTITUTE FOR FACULTY SUPERVISION, ACCREDITED TRAINING, OR PROFESSIONAL JUDGMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. KEENSIGHT HEALTH AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, OR COST OF COVER, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  2. KEENSIGHT HEALTH'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID TO KEENSIGHT HEALTH FOR ACCESS TO THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
  3. NOTHING IN THESE TERMS LIMITS LIABILITY TO THE EXTENT SUCH LIMITATION IS PROHIBITED BY LAW.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. You and Keensight Health agree that the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and each party consents to personal jurisdiction and venue in those courts.

15. Changes to These Terms

Keensight Health may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms through the Services, on our website, by email, or by other reasonable means. The updated Terms will become effective on the date stated in the updated Terms. By continuing to use the Services after the updated Terms become effective, you agree to the updated Terms.

16. Miscellaneous

  • These Terms are the entire agreement between you and Keensight Health regarding your use of the Services, except for any additional terms expressly incorporated herein.
  • If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
  • Keensight Health's failure to enforce any provision of these Terms is not a waiver of that provision.
  • You may not assign or transfer these Terms without Keensight Health's prior written consent. Keensight Health may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all assets.
  • Notices to Keensight Health under these Terms must be sent to legal@keensighthealth.com, unless another notice address is designated by Keensight Health in writing.
  • Subject to applicable law, Keensight Health may use your suggestions, enhancement requests, recommendations, corrections, and other feedback you provide relating to the Services without restriction and without any obligation to you.
